Entity: PROVEO LLC (registered in Wyoming, USA), operating under the brand GrowthPals Automation Studio (“we,” “us,” “our,” or “the Company”).
1. Acceptance of Terms
By registering and participating in the GrowthPals Automation Studio Affiliate Program (“Program”), you (“Affiliate,” “you,” or “your”) acknowledge that you have read, understood, and agreed to these Terms and Conditions.
Participation in the Program constitutes a binding agreement between you and PROVEO LLC.
2. Program Overview
The Program allows approved Affiliates to promote GrowthPals Automation Studio’s automation and AI-powered services through personal referral links.
Affiliates earn commissions from qualifying purchases made by customers through their unique links, including via a two-tier referral structure.
3. Eligibility Requirements
You must be at least 18 years old.
You must reside in a jurisdiction where affiliate marketing is legal.
You must be able to communicate effectively in English.
The Program primarily targets Latino residents of the UAE, but international applicants are welcome.
You must complete the Affiliate Qualification Form accurately.
Approval is automatic upon successful form completion.
GrowthPals reserves the right to revoke participation for violation of these Terms.
4. Affiliate Account and Dashboard
Upon approval, you will receive:
A personal Affiliate Dashboard for real-time tracking.
Your unique referral link.
Access to training materials and promotional resources.
You are solely responsible for the confidentiality and use of your account credentials.
5. Referral Tracking and Cookie Duration
5.1 Tracking Mechanism
All referrals are tracked automatically through your unique affiliate link. When a user clicks your link, a tracking cookie is placed in their browser.
5.2 Cookie Duration
Each cookie is valid for 90 days from the first click.
If the referred customer completes a purchase within this 90-day window, you will receive credit for the sale.
If the customer clears cookies, switches devices, or completes the purchase after 90 days, the referral will no longer be attributed to you.
5.3 Attribution Priority
In the event that a user clicks multiple affiliate links, the most recent valid cookie (last click) determines attribution.
6. Commission Structure
6.1 Tier 1 – Direct Sales
Earn 40% commission on every qualifying sale made through your direct link.
Applies to both monthly and annual subscriptions.
Commissions are recurring for monthly subscriptions as long as the customer remains active.
6.2 Tier 2 – Sub-Affiliate Sales
Earn 5% commission on sales generated by affiliates you directly referred.
Tier 2 commissions apply for all transactions made by your referred affiliates’ customers.
6.3 Total Commission Limit
Combined commissions (Tier 1 + Tier 2) will not exceed 45% per sale.
GrowthPals retains the remaining 55% as company revenue.
7. Commission Approval and Payment
Commissions are initially marked as Pending.
All payments are processed on a Net 30 schedule — i.e., 30 days after each sale is approved and cleared (to allow for refunds or disputes).
Minimum payout threshold: USD 50.
Payments are made via PayPal, bank transfer, or any approved method.
Affiliates are responsible for any transaction or currency conversion fees.
The Company may withhold or cancel commissions in cases of fraudulent activity or policy violations.
8. Refunds and Chargebacks
If a customer requests a refund or issues a chargeback within the refund period, the associated commission will be canceled or deducted from future payments.
9. Taxes and Reporting
Affiliates act as independent contractors and are responsible for reporting and paying any taxes required in their jurisdiction.
The Company may request tax documentation (e.g., W-9, W-8BEN) as required by law.
10. Affiliate Conduct and Restrictions
Affiliates must NOT:
Use deceptive or misleading advertising.
Engage in spam or unsolicited communication (email, SMS, WhatsApp, etc.).
Manipulate tracking through bots, fake leads, or cookie stuffing.
Bid on branded keywords such as “GrowthPals,” “GrowthPals Automation Studio,” or similar.
Create fake domains, ads, or social profiles impersonating the Company.
Misrepresent the product, pricing, or partnership relationship.
Promote via adult, illegal, or offensive content.
Offer unapproved bonuses, discounts, or cashbacks.
Violation of these rules may result in immediate termination and forfeiture of all unpaid commissions.
11. Promotional Materials
You may use approved marketing resources provided by GrowthPals.
Custom materials are permitted if they remain truthful, professional, and compliant with brand standards.
You must always identify yourself as an independent affiliate and not an employee or representative of the Company.
12. Intellectual Property
All trademarks, logos, texts, videos, and creative assets are property of PROVEO LLC.
Affiliates may use them only for authorized promotion of GrowthPals Automation Studio.
Unauthorized reproduction or modification is strictly prohibited.
13. Confidentiality
All business information, strategies, training materials, and commission data are confidential and may not be disclosed to third parties.
14. Termination
The Company reserves the right to suspend or terminate your participation at any time for violations of these Terms or for any activity deemed harmful to the brand.
You may terminate your participation at any time by written notice.
Upon termination:
Pending (unapproved) commissions are forfeited.
Approved commissions will be paid on the next payout cycle, provided no breach occurred.
You must immediately cease using GrowthPals materials and links.
15. Relationship of the Parties
Affiliates act as independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.
16. Limitation of Liability
The Company shall not be liable for indirect, incidental, or consequential damages arising from participation in the Program.
Maximum liability is limited to the total commissions paid to you within the past six (6) months.
17. Modifications
The Company may update these Terms at any time. Updated versions will be posted on the official website, and continued participation constitutes acceptance of such updates.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA.
Any disputes shall be resolved exclusively in the courts of Wyoming.
